ESOPs and Other Stock Based Plans
We help clients establish and maintain the qualification of retirement plans that are designed to invest in employer securities. These plans include employee stock ownership plans (ESOPs), stock bonus plans, and defined contribution plans (such as Section 401(k) plans) that permit employees to direct the investment of their accounts in employer securities.
For example, we helped a client establish an ESOP to facilitate the buy-out of the stock held by a retiring majority stockholder. By establishing the ESOP, the client was able to avoid the forced sale of the company.
