Franchisee Representation

Our attorneys provide a range of services to franchisees and potential franchisees.  These services include performing due diligence for businesses considering becoming franchisees; negotiating the terms of related franchise, dealership, or distribution agreements; and helping franchisees understand their rights under complex agreements.

We also assist clients who seek to expand their businesses through product and technology licensing and business opportunities, but wish to explore alternatives to franchising in order to avoid the expense and complication of federal and state franchise disclosure laws.

We represented the owner of a multi-state chain of restaurants in the design and implementation of a program to restructure operations from company-owned restaurants to manager-owned facilities operated under licenses from the owner.  We prepared documents which granted the managers the rights to operate the facilities under the name and business model developed by our client, which also protected our client by ensuring its ability to maintain high standards of quality throughout the different locations.  Since the program permitted our client to proceed under exceptions to the state and federal franchise offering laws, our client did not incur the expenses and suffer the time delays of a full-blown franchise operation.
