The Commercial Finance Practice Area advises financial institutions and corporate borrowers in all types of financing transactions. Lenders we represent range from national banking associations and state chartered banks to privately held mezzanine funds. We also represent a diverse group of privately held corporate borrowers. Members of this Practice Area have served on the Uniform Commercial Code Article 9 Revision Study Commission and as officers of the Association of Commercial Finance Attorneys.

We advise our clients from the earliest stages of the process, before the commitment letter has been issued, through the closing and funding of the transaction. We negotiate the loan documents and coordinate all lender requirements. Whenever issues within specialized areas of law arise, such as Environmental, Tax, Employee Benefits and Pension or creditors’ rights issues, we consult with other attorneys at our Firm who are experienced in those areas.
When representing financial institutions, we work with the lenders throughout the loan negotiation process to close the transactions on terms consistent with the credit approval. When representing corporate borrowers, we help interpret the “legalese” in loan documents and provide insight into current market trends.
